• "Products" refers to all hardware, including but not limited to cameras, NVR systems, and related equipment manufactured or sold by Sclera
• "Services" refers to all services provided by Sclera, including technical support, installation assistance, cloud services, and software updates
• "Website" refers to sclera.online and all associated subdomains
• "Content" refers to all information, text, graphics, images, videos, software, and other materials available on or through our services
• "User Data" refers to any data, including surveillance footage, processed or stored using our Products

3 Use of Services

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3.2 Permitted Use

You may use our Products and Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our Products in any manner that violates applicable local, national, or international laws or regulations
• Install surveillance equipment in locations where recording is prohibited by law
• Use our Products to infringe on the privacy rights of individuals
• Attempt to gain unauthorized access to our systems or networks
• Reverse engineer, decompile, or disassemble any of our Products or software
• Remove or alter any proprietary notices or labels on our Products

4 Product Purchase and Payment

4.1 Orders

All orders placed through our website or authorized distributors are subject to acceptance by Sclera. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, or suspected fraudulent activity.

4.2 Pricing

All prices are quoted in the applicable currency and are subject to change without notice. Prices do not include applicable taxes, shipping, or installation costs unless explicitly stated.

4.3 Payment Terms

Payment terms will be specified at the time of purchase. For business accounts, credit terms may be available subject to credit approval. Late payments may incur interest charges at the maximum rate permitted by law.

4.4 Delivery

Delivery times are estimates only and are not guaranteed. Risk of loss and title for Products pass to you upon delivery to the carrier. We are not liable for delays caused by circumstances beyond our reasonable control.

5 Intellectual Property

All intellectual property rights in and to our Products, Services, Website, and Content, including but not limited to patents, copyrights, trademarks, trade secrets, and proprietary technology, are owned by or licensed to Sclera.

You are granted a limited, non-exclusive, non-transferable license to use our Products and Services for their intended purpose. This license does not include:

• The right to sublicense, sell, or distribute our Products or software

6 User Obligations

As a user of our Products and Services, you agree to:

• Promptly notify us of any unauthorized use of your account
• Use our Products only for their intended purposes
• Follow all installation guidelines and safety instructions
• Maintain appropriate signage where required by law when using surveillance equipment
• Obtain all necessary permits and approvals for surveillance system installation
• Ensure proper data handling and storage practices for captured footage

7 Warranty and Disclaimer

7.1 Limited Warranty

Sclera warrants that our Products will be free from defects in materials and workmanship for a period specified in the product documentation from the date of purchase. This warranty does not cover:

• Damage caused by improper installation, use, or maintenance
• Damage caused by unauthorized modifications or repairs
• Damage caused by accidents, misuse, or neglect
• Normal wear and tear
• Damage caused by environmental factors beyond product specifications

7.2 Disclaimer

8 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Sclera shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Sclera shall not be liable for any loss of profits, revenue, data, or business opportunities
• Sclera's total liability for any claims arising from these Terms or your use of our Products or Services shall not exceed the amount you paid for the specific Product or Service giving rise to the claim
• Sclera shall not be liable for any security breach, system failure, or loss of footage

Some jurisdictions do not allow limitations on implied warranties or liability, so some of the above limitations may not apply to you.

9 Indemnification

You agree to indemnify, defend, and hold harmless Sclera, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of our Products or Services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights, including privacy rights
• Any claims arising from footage captured by our Products

10 Data Protection and Security

We take data protection seriously. Our Products feature:

• AES-256 Encryption: Military-grade encryption for all data transmissions
• Two-Way Authentication: Secure access controls
• Zero-Breach Architecture: Hardened systems with no known vulnerabilities

However, no system can guarantee absolute security. You are responsible for implementing appropriate security measures for your specific installation and for backing up your data.

11 Termination

We reserve the right to terminate or suspend your access to our Services at any time, without prior notice or liability, for any reason, including but not limited to:

• Violation of applicable laws

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12 Governing Law and Dispute Resolution

12.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or our Products or Services shall be resolved through the following process:

2. Mediation: If negotiation fails, the parties agree to attempt mediation before pursuing litigation
3. Litigation: Any unresolved disputes shall be submitted to the exclusive jurisdiction of the courts of Ras Al Khaimah, United Arab Emirates

12.3 Language

These Terms are drafted in English. In the event of any translation, the English version shall prevail.

13 General Provisions

13.1 Entire Agreement

13.2 Severability

Sclera shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
